These terms and conditions outline the rules and regulations for the use of Stay On Route, as located at www.stayonroute.com.

By accessing this Website and/or the Mobile App, we assume you accept these Terms and Conditions. Do not continue to use Stay On Route if you do not agree to take all of the Terms and Conditions stated on this page.
The following terminology applies to these Terms and Conditions, Privacy Policy and Disclaimer Notice and all Agreements: “You” and “Your” refers to you, the person log on this website and compliant to the Company's terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both you and ourselves. All terms refer to the offer, acceptance and consideration of the use of our services. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

  1. Rights and Responsibilities of Use
     

1.1 Rights to Use Services

Stay On Route grants you the personal, non-corporate access to the Stay On Route App and subsequent services. This access is for the sole purpose of letting you use and enjoy the Services’ benefits in a way that these Terms and our usage policies, such as our Privacy Policy, allow.

Any software that we provide you may automatically download and install upgrades, updates, or other new features. You may be able to adjust these automatic downloads through your device’s settings.

You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission to do so.


1.2 Limitations and Obligations of Use

By using our Services, you agree, not to (a) modify, prepare derivative works of, or reverse engineer, our Services; (b) knowingly or negligently use our Services in a way that abuses or disrupts our networks, or the Service; (c) transmit through the Services any harassing, indecent, obscene, fraudulent, or unlawful material; (d) market, or resell the Service to any third party; (e) use the Services in violation of applicable laws, or regulations; (f) transmit through the Services any material that may infringe the intellectual property, privacy, or other rights of third parties.


1.3 Safety

We try hard to keep our Service safe. By using the Services, you agree that:
 

  • You will not use the Service for any purpose that is illegal or prohibited in these Terms.

  • You will not use or develop any third-party applications that interact with the Services or other users’ content or information without our written consent.

  • ​You will not use the Services in a way that could interfere with, disrupt, negatively affect, or inhibit the Services, or that could damage, disable, overburden, or impair the functioning of the Services.

  • You will not upload viruses or other malicious code or otherwise compromise the security of the Service.

  • You will not probe, scan, or test the vulnerability of our Services or any system or network.

  • You will not encourage or promote any activity that violates these Terms.


We also care about your safety while using our Services. So do not use our Services in a way that would distract you from obeying traffic or safety laws.


2. Intellectual Property and Respecting Copyright


You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all material or content supplied as part of Stay On Route shall remain at all times vested in us or our licensors. You are permitted to use this material only as expressly authorised by us.
You acknowledge and agree that the material and content contained within Stay On Route is made available for your personal non-commercial use only and that you may download such material and content onto only one computer hard drive for such purpose. Any other use of the material and content of Stay On Route is strictly prohibited. You agree not to (and agree not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material and content.


3. Additional Important Information
 

3.1 Location / GPS
 

3.1.1 Location Alerts and Notifications


You agree to receive pre-programmed notifications (“Location Alerts”) on the Mobile Application from Us if you have turned on locational services on your mobile telephone or other handheld devices (as the case may be).

3.1.2 Location Data
 

This App will use your devices’ location data. We use your current location to calculate the distance you are away from your selected destination. Stay On Route DOES NOT collect this data.
Also, anonymous location tracking is used, meaning Users of the Stay On Route App DO NOT share any personal information with the App. As such no individual can be associated with the processes which are used inside the App. By using the Stay On Route App, you hereby agree to these Conditions.
 


3.2 Third Party Services


We may allow Analytical Tools (E.G. Google Analytics) to use cookies or other similar technologies on the Stay On Route Service for the purposes identified, including collecting information about the aggregate online activities over time and across the website and application.
Our Service may contain links to third-party web sites or services that are not owned or controlled by Stay On Route.


Stay On Route has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Stay On Route shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.


3.3 Cookies


We employ the use of cookies. By accessing Stay On Route, you agree to use cookies in agreement with Stay On Route's Privacy Policy.
Cookies are used by our website to enable the functionality of certain areas to make it easier for people visiting our website.


3.4 Data Charges and Devices


You are responsible for any mobile charges that you may incur for using our Services, including text messaging and data charges. If you’re unsure what those charges may be, you should ask your service provider before using the Services.



4. Disclaimer / Limitations of Liability / Indemnity


4.1 Disclaimer


We try to keep the Service up and running and free of annoyances. But we make no promises that we will succeed.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND TO THE EXTENT PERMITTED BY LAW WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IN ADDITION, WHILE STAY ON ROUTE LTD ATTEMPTS TO PROVIDE A GOOD USER EXPERIENCE, WE DO NOT REPRESENT OR WARRANT THAT: (A) THE SERVICES WILL ALWAYS BE SECURE, ERROR-FREE, OR TIMELY; (B) THE SERVICES WILL ALWAYS FUNCTION WITHOUT DELAYS, DISRUPTIONS, OR IMPERFECTIONS; OR (C) THAT ANY CONTENT, OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICES WILL BE TIMELY OR ACCURATE.
STAY ON ROUTE LTD TAKES NO RESPONSIBILITY AND ASSUMES NO LIABILITY FOR THE ACCURACY AND PERFORMANCE OF THE APPS LOCATION ALARM SYSTEM DUE TO POOR/NO GPS SIGNAL OR OTHER UNCONTROLLABLE EXTERNAL VARIABLES RESULTING IN THE FAILURE OR DELAY OF ACTIVATION OF THE ALARM, NONE OF WHICH STAY ON ROUTE LTD WILL BE RESPONSIBLE FOR.


4.2 Limitations of Liability


YOU AGREE THAT STAY ON ROUTE SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF DATA, LOSS OF INCOME, LOSS OF OPPORTUNITY, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) THE CONDUCT OR CONTENT OF THIRD PARTIES ON OR THROUGH THE SERVICES; OR (C) UNAUTHORIZED ACCESS. EVEN IF STAY ON ROUTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL STAY ON ROUTE’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.


4.3 Indemnity


You agree to indemnify and hold Stay On Route and its affiliates and their officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (a) your access to or use of the App and Services; (b) your breach of these Terms.


4.4 Severance


If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.


5. Governing Law and General Provisions


5.1 Governing Law


As based in the United Kingdom, UK law will apply to all disputes and the interpretation of these Terms of Service. The English courts will have non-exclusive jurisdiction over any dispute arising from or related to your use of the Service.
These Terms of Service do not exclude any mandatory legal rights you may have in your country of residence, where Stay On Route is not allowed to exclude such as a matter of law.


5.2 General Provisions


We may assign any of our rights and obligations under these Terms of Service.
These Terms of Service do not create an agency, partnership, employment or joint venture relationship between you and Stay On Route.
Stay On Route will not be liable for any delay in performing or failure to perform its obligations caused by any force majeure event. In those circumstances Stay On Route will be granted a reasonable extension of time for the performance of its obligations, the reasonableness of that extension to be assessed in the context of these Terms of Service and Stay On Route’s other commitments.

No third party or (except, where applicable, the permitted assign of Stay On Route) is entitled to the benefit of these Terms of Service under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

6. Privacy


Your privacy matters to us. You can learn how your information is handled when you use our Services by reading the Privacy Policy.

7. Account Termination


The Agreements of the Terms and Conditions will continue to apply to you until terminated by either you or Stay On Route. However, you acknowledge and agree that the perpetual license granted by you in relation to Feedback, is irrevocable and will, therefore, continue after expiry or termination of any of the Agreements for any reason.
Stay On Route may terminate the Agreements or suspend your access to the Stay On Route App and Service at any time, including in the event of your actual or suspected unauthorized use of the Stay On Route Service, or non-compliance with the Agreements.
If you or Stay On Route terminate the Agreements, or if Stay On Route suspends your access to the Stay On Route App and Service, you agree that Stay On Route shall have no liability or responsibility to you, and Stay On Route will not refund any amounts that you have already paid, to the fullest extent permitted under applicable law. You may terminate the Agreements at any time by removing the App from your device.

8. Changes to Service or Terms


8.1 Changes to the Service and App


From time to time, we may automatically update the App and/or change the Service to improve performance, enhance functionality, reflect changes to the operating system or address security issues. Alternatively, we may ask you to update the App for these reasons.
If you choose not to install such updates, or if you opt out of automatic updates, you may not be able to continue using the App and the Services.
The App will always work with the current or previous version of your mobile or tablet device operating system (as it may be updated from time to time) and match the description of it provided to you when you bought it. More information on operating system requirements can be found from your app store.

8.2 Changes to the Terms and Conditions

We may change these terms and conditions from time to time at our sole discretion. Changes will usually occur because of new features being added to the Service, changes in the law or where we need to clarify our position on something.
Any revised terms will be applicable from the date they are published. We will try, where possible and reasonable, to contact you to let you know about any significant changes to any of the documents referred to in these Terms of Service.
We may contact you through the Service (for example by asking you to accept the changes before you continue to use the Service)
If you do not accept the notified changes you will not be permitted to continue to use the App and the Service.
 


9. Entire Agreement


These Conditions (as amended from time to time) contain the entire agreement between you and us relating to the subject matter covered and supersede any previous agreements, arrangements, undertakings or proposals, written or oral, between you and us in relation to such matters.
No oral explanation or oral information given by either of us shall alter the interpretation of these Conditions. You confirm that, in agreeing to accept these Conditions, you have not relied on any representation save insofar as the same has expressly been made a representation in these Conditions.
You agree that you shall have no remedy in respect of any misrepresentation which has not become a term of these Conditions, save that your agreement contained in this Clause shall not apply in respect of any fraudulent misrepresentation whether or not such has become a term of these Conditions.


10. Customer Support and Disputes


We will try to resolve any disputes with you quickly and efficiently. If you are unhappy with us please contact us as soon as possible: contact@stayonroute.com

If you and we cannot resolve a dispute using our complaint handling procedure, we will let you know that we cannot settle the dispute with you and give you information about our alternative dispute resolution provider.
If you want to take court proceedings, the relevant courts of the United Kingdom will have exclusive jurisdiction in relation to these Terms. Relevant United Kingdom law will apply to these Terms.
